Agreement to Terms

By accessing or using the services provided by Vnerds Technologies Pvt. Ltd. ("Vnerds", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

Vnerds provides software development, consulting, and related technology services. Our services include but are not limited to:

• Web and mobile application development
• AI and machine learning solutions
• Cloud infrastructure and DevOps services
• UI/UX design and consulting
• Digital transformation consulting

Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information as required
• Respond to requests for information in a timely manner
• Ensure necessary resources and access are provided for project execution
• Review and provide feedback on deliverables within agreed timelines
• Make payments according to agreed payment terms

Intellectual Property

Unless otherwise specified in a separate agreement, intellectual property rights for custom-developed solutions are transferred to the client upon full payment. Pre-existing intellectual property, frameworks, and tools remain the property of their respective owners.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of engagement. This includes but is not limited to business strategies, technical specifications, and financial information.

Payment Terms

Payment terms are specified in individual project agreements. Unless otherwise stated:

• Invoices are due within 30 days of issue
• Late payments may incur additional charges
• Project work may be paused for overdue payments

Limitation of Liability

To the maximum extent permitted by law, Vnerds shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability shall not exceed the amount paid for the specific services giving rise to the claim.

Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or meet all of your specific requirements beyond what is explicitly agreed upon in the project scope.

Termination

Either party may terminate the engagement with written notice as specified in the project agreement. Upon termination, client is responsible for payment of all work completed up to the termination date.

Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat.

Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to this page. Your continued use of our services constitutes acceptance of the updated terms.
